These Terms and Conditions (“Terms”) govern your use of the MINDCELIUM website and any purchase of products from us.

By accessing our website or placing an order, you agree to be bound by these Terms. If you do not agree, you must not use this website or place an order.

1. Who we are

This website is operated by MINDCELIUM HOLDINGS LTD, trading as MINDCELIUM (“we”, “us”, “our”).

Business name: MINDCELIUM HOLDINGS LTD trading as MINDCELIUM
Registered address: 71–75 Shelton Street, Covent Garden, London, WC2H 9JQ

2. These Terms

These Terms apply to:

  • your use of our website; and

  • all orders placed by you through our website.

If you purchase products from us as a consumer, nothing in these Terms affects your statutory rights.

If any provision of these Terms is found to be unlawful, invalid, or unenforceable, the remaining provisions shall remain in full force and effect.

3. Eligibility to use the website and place orders

By using our website and placing an order, you confirm that:

  • you are at least 18 years old;

  • you are legally capable of entering into a binding contract;

  • the information you provide is accurate, complete, and current; and

  • you will use our website only for lawful purposes.

We reserve the right to refuse service, suspend access, terminate accounts, or cancel orders where we reasonably believe these Terms have been breached or where doing so is necessary to protect our business, customers, systems, reputation, or legal position.

4. Important product information

We aim to ensure that all product descriptions, images, specifications, and pricing on our website are accurate. However:

  • product images are for illustrative purposes only;

  • packaging, labelling, and presentation may vary from images shown;

  • colours may appear differently depending on your screen or device;

  • minor differences in weight, appearance, or specification may occur where reasonable.

All information provided on this website is for general information purposes only. Nothing on this website is intended as medical advice or as a substitute for advice from a qualified healthcare professional.

Our products are not intended to diagnose, treat, cure, or prevent any disease or medical condition.

You are responsible for reviewing all ingredients, product information, storage guidance, directions, and warnings before purchase and use.

If you have allergies, sensitivities, are pregnant, breastfeeding, taking medication, or have any medical condition, you should seek independent professional advice before using any product.

5. Lawful and restricted use

You agree that you will not:

  • use our website or products for any unlawful purpose;

  • misuse our website or interfere with its operation;

  • attempt to gain unauthorised access to our systems, payment facilities, hosting environment, or customer data;

  • upload or transmit malicious software, code, or harmful material;

  • scrape, copy, mirror, republish, or commercially exploit website content without our written permission;

  • use our website in any fraudulent, abusive, misleading, or harmful way.

We reserve the right to investigate suspected misuse and to take any action we reasonably consider necessary, including suspending access, cancelling orders, preserving records, and reporting matters to relevant authorities.

6. Orders

All orders are subject to acceptance and availability.

After you place an order, you may receive an order acknowledgement email. This does not mean your order has been accepted. A binding contract is formed only when we accept your order and send a dispatch confirmation or otherwise confirm that the order has been accepted.

We reserve the right to refuse, limit, or cancel any order at our discretion, including where:

  • a product is unavailable;

  • there has been a pricing, listing, or technical error;

  • payment cannot be authorised or is reversed;

  • we suspect fraud, misuse, or unlawful activity;

  • the delivery destination is unavailable or restricted;

  • fulfilling the order may expose us to legal, regulatory, operational, or reputational risk.

If we cancel an order after payment has been taken, we will refund the relevant amount paid.

7. Pricing

All prices shown on our website are in GBP (£) unless otherwise stated.

Prices may change at any time, but such changes will not affect orders that have already been accepted.

We take reasonable care to ensure that prices are correct. However, errors may occur. If we discover an error in the price of a product you have ordered, we may contact you for instructions or cancel the order and issue a refund.

Unless stated otherwise, prices shown on the website exclude delivery charges, which will be displayed at checkout where applicable.

You are responsible for any applicable taxes, duties, customs charges, import fees, or clearance costs for international orders unless otherwise stated by us in writing.

8. Payment

Payment must be made in full at the time of ordering using the payment methods available on our website.

By placing an order, you confirm that:

  • you are authorised to use the chosen payment method; and

  • all billing and payment details provided are valid and accurate.

We may use third-party payment providers to process payments. Payment processing is subject to the terms and policies of the relevant provider.

If payment is declined, reversed, disputed, charged back, or otherwise not received in cleared funds, we reserve the right to suspend fulfilment, cancel the order, recover sums due, and restrict future purchases.

9. Availability and stock

All products are subject to availability.

We do not guarantee that any product will always be in stock or remain available for any particular period.

If a product becomes unavailable after an order is placed, we may cancel the affected item or order and refund the relevant amount paid.

We shall not be liable for stock shortages, discontinued items, supplier issues, or fulfilment delays except as required by law.

10. Dispatch and delivery

We aim to process and dispatch orders within the timeframes stated on our website, but all dispatch and delivery times are estimates only unless expressly agreed otherwise.

Please allow up to 48 hours for order processing. Once dispatched, orders are typically shipped via Royal Mail Tracked 24 where stated on the relevant product page or checkout.

We are not responsible for delays caused by:

  • courier issues;

  • customs processing;

  • incomplete or incorrect delivery information;

  • failed delivery attempts;

  • weather, strikes, or transport disruption;

  • force majeure events; or

  • events outside our reasonable control.

You are responsible for ensuring that all delivery details are accurate at the time of purchase. If an order is returned to us because the address was incorrect, incomplete, unclaimed, or refused, we may require payment of additional shipping charges before resending it.

Risk in the goods passes to you on delivery. Ownership of the goods passes only when we have received payment in full.

11. International orders

If we accept orders for delivery outside the United Kingdom:

  • you are responsible for ensuring that the products can be lawfully imported into the destination country;

  • you are responsible for all customs duties, taxes, import charges, regulatory checks, and local legal requirements;

  • we make no guarantee that any product is lawful, suitable, or permitted outside the United Kingdom.

We reserve the right to refuse international orders at our discretion.

12. Your right to cancel

If you are a consumer purchasing online, you may have the legal right to cancel your order within 14 days of receiving the goods, without giving a reason, subject to applicable legal exceptions.

To exercise your cancellation right, you must notify us clearly by email at hello@mindcelium.com before the cancellation period expires.

You must take reasonable care of the goods while they are in your possession. We may make a deduction from any refund for loss in value resulting from handling beyond what is necessary to establish the nature, characteristics, and functioning of the goods.

Unless we agree otherwise, you are responsible for the direct cost of returning cancelled goods.

13. Exceptions to cancellation

Your right to cancel may not apply, or may be lost, where permitted by law, including where:

  • sealed goods are supplied for health protection or hygiene reasons and become unsealed after delivery;

  • goods are made to your specification or clearly personalised;

  • goods are inseparably mixed with other items after delivery; or

  • another statutory exception applies.

Where a product is supplied with a seal for hygiene or product integrity purposes, you agree that once that seal is removed or broken, your right to cancel may no longer apply where the law allows.

Nothing in this clause affects your rights in relation to faulty, damaged, misdescribed, or non-conforming goods.

14. Faulty, damaged, or incorrect goods

Nothing in these Terms limits your legal rights if goods are faulty, damaged, not fit for purpose, not of satisfactory quality, or not as described.

If you believe an item is faulty, damaged, or incorrect, you must contact us as soon as reasonably possible at hello@mindcelium.com, providing:

  • your order number;

  • a description of the issue; and

  • photographs where relevant.

We may ask you to return the item for inspection before issuing a replacement, refund, or other remedy.

15. Returns process

Where a return is agreed or authorised, you must:

  • follow the return instructions provided by us;

  • package items securely;

  • include any requested order information; and

  • where appropriate, use a tracked service and retain proof of postage.

We may refuse returns sent without prior contact where this prevents proper identification, inspection, or handling, except where prohibited by law.

16. Refunds

Approved refunds will be made to the original payment method unless otherwise agreed.

Where permitted by law, we may withhold a refund until we have received the returned goods or received satisfactory evidence that the goods have been returned.

We are not required to refund any enhanced or premium delivery upgrade chosen by you unless required by law.

17. Promotions, discounts, and limited offers

From time to time, we may offer discount codes, promotions, bundles, gifts, or limited-time offers. These are subject to any additional terms stated with the relevant promotion.

Unless expressly stated otherwise:

  • promotions cannot be combined;

  • only one code may be used per order;

  • promotions have no cash value;

  • promotions may be amended, suspended, or withdrawn at any time;

  • promotions apply only during the stated period and while stocks last.

We reserve the right to cancel promotions or related orders where we reasonably suspect misuse, abuse, commercial exploitation, bulk-buying abuse, or fraudulent activity.

18. Subscriptions and repeat purchases

If we offer subscription services, repeat orders, or auto-renewal features, additional terms may apply at sign-up.

By subscribing, you authorise us or our payment processor to take recurring payments in line with the subscription terms accepted by you.

You may cancel future subscription payments in accordance with the terms shown at sign-up, but charges already validly incurred before cancellation remain payable.

19. Account security

If you create an account on our website, you are responsible for:

  • maintaining the confidentiality of your login credentials;

  • restricting access to your devices and account;

  • all activity carried out using your account unless caused by our own fault.

You must notify us immediately if you believe your account or login details have been compromised.

We reserve the right to suspend or terminate accounts where we reasonably believe there has been unauthorised use, misuse, fraud, or breach of these Terms.

  • software and underlying code where applicable.

You may access and use the website for personal, non-commercial use only.

You must not, without our prior written consent:

  • reproduce, distribute, copy, adapt, republish, upload, or commercially exploit any website content;

  • frame, mirror, or scrape the website;

If you submit reviews, testimonials, comments, images, or other content to us, you confirm that:

  • the content is accurate to the best of your knowledge;

  • you own it or have the necessary rights to share it;

  • it does not infringe any third-party rights;

  • it is not unlawful, defamatory, abusive, obscene, misleading, or spam.

You grant us a non-exclusive, worldwide, royalty-free licence to use, reproduce, adapt, publish, and display such content for our business, marketing, and website purposes.

We reserve the right to remove, refuse, edit, or not publish any user-submitted content at our discretion.

We reserve the right to investigate any breach and take any action reasonably necessary to protect our business and systems.

23. Third-party links and services

Our website may contain links to third-party websites or use third-party tools and services, including payment gateways, analytics providers, ecommerce infrastructure, email marketing platforms, and social media integrations.

We are not responsible for the content, availability, security, terms, or privacy practices of third-party websites or services. Your use of them is at your own risk and subject to their own terms.

24. Limitation of liability

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited, including liability for:

  • death or personal injury caused by negligence;

  • fraud or fraudulent misrepresentation; or

  • breach of your statutory rights as a consumer.

Subject to the above, and to the fullest extent permitted by law:

  • we shall not be liable for any indirect, incidental, special, or consequential loss;

  • we shall not be liable for loss of profit, loss of business, loss of opportunity, loss of goodwill, or loss of data;

  • our total liability in relation to any order shall not exceed the total amount paid by you for the relevant product giving rise to the claim.

We do not guarantee that the website will always be available, uninterrupted, secure, or error-free.

25. No reliance on website content

The content on our website is provided for general information only. While we try to keep it accurate and up to date, we make no guarantee that all content will always be complete, current, or error-free.

You should not rely solely on website content where professional advice is appropriate.

26. Product suitability and personal responsibility

You are responsible for determining whether a product is suitable for your own needs and circumstances.

You must:

  • review all ingredients and relevant product information before use;

  • follow any directions, storage guidance, and warnings provided;

  • keep products out of reach of children where applicable;

  • use products lawfully and responsibly.

We are not responsible for issues arising from misuse, failure to follow guidance, undisclosed sensitivities, unlawful importation, or use contrary to instructions.

27. Force majeure

We are not liable for any delay or failure to perform any obligation under these Terms where caused by events outside our reasonable control, including:

  • acts of God;

  • fire, flood, or severe weather;

  • strikes or labour disputes;

  • epidemic or pandemic;

  • supply chain disruption;

  • transport or courier failure;

  • power or telecommunications failure;

  • cyberattack;

  • government action or restriction.

If such an event continues for an extended period, we may cancel affected orders and refund sums paid for any undelivered goods.

28. Privacy and cookies

Your use of the website is also subject to our Privacy Policy and Cookie Policy, which explain how we collect, use, and store personal data and cookies.

29. Complaints

If you have a complaint, please contact us first at hello@mindcelium.com and we will aim to resolve it as efficiently as possible.

30. Changes to these Terms

We may update these Terms from time to time. The latest version will always be posted on this page with the updated “Last updated” date.

Any changes will not affect orders that have already been accepted unless required by law.

31. Governing law and jurisdiction

These Terms are governed by the laws of England and Wales.

If you are a consumer, you may also have the right to bring proceedings in the part of the United Kingdom in which you live, in accordance with applicable law.
